An exciting opportunity has arisen for a Deputy Company Secretary to join our team reporting into me as GC & Co. Sec. and responsible for managing the day to day operations of the Acton-based Co. Sec. function. The Deputy Company Secretary is a member of the Legal & Co. Sec. management team.

The Deputy Company Secretary carries a high degree of responsibility and independence, involving regular contact with Board members, senior management, heads of functions and external advisors. The role holder is required to demonstrate the highest level of personal and professional integrity, as well as strong technical and professional capabilities and the ability to work autonomously with confidence and authority.

 


You will be:
•Assisting with setting the Board and Committee agendas and meetings planning;
•Act as Secretary to the two main operating company boards (CPW Ltd and DSG Retail Ltd);
•Act as Director and Secretary to agreed subsidiary companies;
•Setting up a corporate governance framework, monitoring of best practice and the provision of guidance, policies, terms of reference and support to the Board and its Committees;
•Assisting with Board and Committee inductions and directors’ training;
•Assisting the General Counsel & Company Secretary in arranging Board evaluations (internal and external);
•Keeping up to date with development in company law and corporate governance best practice, proactively updating Company Secretary and General Counsel and producing Board and Committee papers and policies as required;

•Accountability for the development and execution of department objectives in relation to governance, compliance, share schemes (in conjunction with Group Reward team responsible for management of SAYE, LTIP and Share Plan) and shareholder services.
•Management and development of Assistant Company Secretaries/ Company Secretarial Assistants within the department;
•Day to day monitoring of Company Secretarial routines;
•Provision of Company Secretarial advice to Tax, Finance, Treasury, Investor Relations and the wider business;


You will need:
•Broad relevant experience in governance, compliance, share plans, shareholders services and Board communications gained from working in the Secretariat of a FTSE 100 or FTSE 250 company.
•General management experience of managing a team comprising professional and administrative staff.
•Experience of working with senior executives and non-executive directors.
•Skills and knowledge required to comply with statutory and legal requirements as well as to meet deadlines and timescales.
•Commercial awareness to balance the commercial needs of the business, budgetary constraints and legal and risk implications.
